Terms of Service

These Terms of Service ("Terms") govern your use of the Flowback web application ("the App") and the website at https://www.flowback.co ("the Website"), together referred to as "the Service". The Service is provided by Strategic Minds Group Limited, trading as Flowback, a company registered in England and Wales with its registered office at 57 Nine Elms Lane, London, SW11 7DF ("we", "us", "our").
By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. About the Service
Flowback is a cloud-based software-as-a-service platform that helps product teams collect, organise, and process user feedback, generate structured product requirements, and push issues to connected tools such as Linear, Slack, and GitHub. The Service is accessed through the Website and its subdomains. These Terms also apply to any new features we add to the Service.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to use the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation to these Terms, and "you" refers to both you and that organisation.
3. Accounts and Workspaces
You must provide accurate and complete information when you create an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly at hello@flowback.co of any suspected unauthorised use.
Flowback is organised into workspaces. Each workspace has an owner who is the primary account holder and is responsible for adding or removing members, configuring integrations, managing billing, and ensuring their members' use of the Service complies with these Terms.
4. Right to Use the Service
Subject to your compliance with these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
You may not:
- Copy, modify, distribute, sell, lease, or sublicense any part of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service, except to the extent expressly permitted by applicable law.
- Scrape, crawl, or extract data from the Service other than via features we expressly provide for that purpose.
- Use the Service to build or assist in building a competing product, or to benchmark its features for the purpose of building one.
- Attempt to disrupt the Service, circumvent rate limits, security controls, or usage restrictions, or probe the Service for vulnerabilities without our prior written consent.
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Remove, alter, or obscure any proprietary notices on the Service.
5. Your Content and Customer Data
You retain ownership of the feedback content, attachments, settings, and other data you or your workspace members submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and otherwise process Customer Data solely to the extent necessary to provide the Service to you. This includes sending Customer Data to Anthropic's Claude API to generate PRDs and suggested issues, and to Linear, Slack, and GitHub where you have authorised those integrations.
Processing of personal data contained in Customer Data is governed by our Privacy Policy and, for business customers where we act as a processor, by a Data Processing Addendum available on request at hello@flowback.co.
6. Acceptable Use
You agree not to submit or transmit any Customer Data that:
- Is unlawful, infringing, defamatory, or obscene.
- Infringes any intellectual property right, publicity, privacy, or other right of any person.
- Contains malware, ransomware, or other malicious or harmful code.
- Is subject to export controls or sanctions that would make its transfer to our subprocessors unlawful.
- Consists of sensitive categories of personal data (for example health, biometric, or children's data) where you have not established an appropriate legal basis.
You must not use the Service to send unsolicited bulk messages, spam, or notifications through connected integrations (including Slack, Linear, or GitHub) in violation of those services' terms. We may remove Customer Data that clearly violates these Terms and may suspend accounts for serious or repeated breaches.
7. Subscriptions and Payments
Access to paid features of the Service is offered on a subscription basis. Subscription tiers, features, and prices are displayed at checkout and on the pricing page. Payments are processed by Stripe Payments Europe, Ltd. or Stripe, Inc. (together "Stripe"). By subscribing you authorise us and Stripe to charge your chosen payment method on a recurring basis for the applicable fees until you cancel.
All prices are displayed exclusive of VAT unless stated otherwise. Where VAT applies, it will be added at the applicable rate. We may change our pricing at any time, but changes will only take effect at the start of a subsequent billing period and will not affect fees already paid.
8. Refunds
New subscribers may request a refund of the first paid period within 14 days of the initial charge by contacting us at hello@flowback.co. Refunds will be processed via Stripe to the original payment method. Renewal charges and subsequent billing periods are non-refundable except where required by law. This does not affect your statutory rights.
9. Cancellation, Suspension, and Termination
You may cancel your subscription at any time from the billing portal; your subscription will remain active until the end of the then-current billing period, after which it will not renew. Cancellation does not entitle you to a refund of fees already paid, except as described in section 8.
We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms (including non-payment, abusive use, or violation of our acceptable use rules), if we are required to do so by law, or if continuing to provide the Service to you would create a significant security, legal, or operational risk. Where reasonably possible, we will give you notice and an opportunity to remedy the breach first.
On termination, your right to access and use the Service ends. You may request an export of your Customer Data within 30 days of termination, after which we may delete it in accordance with our retention policy.
10. Third-Party Services and Integrations
The Service depends on and connects to third-party services, including without limitation Anthropic, Stripe, Supabase, Vercel, Resend, Google, Linear, Slack, and GitHub. We are not responsible for the availability, performance, terms, or content of those services, and your use of any integration is also governed by the terms and privacy policies of the third party providing it. We may change or remove third-party integrations at any time.
11. Service Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or make changes to the Service with or without notice. No service level agreement applies unless we have agreed one with you separately in writing.
12. Intellectual Property
All intellectual property rights in the Service — including the software, design, text, graphics, logos, and trademarks — are owned by or licensed to Strategic Minds Group Limited. Nothing in these Terms grants you any rights in or to our intellectual property except as expressly set out herein. Feedback, suggestions, and ideas you submit to us about the Service may be used by us without obligation to you.
13. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
AI-generated outputs produced by the Service (including PRDs, issue drafts, and summaries) are probabilistic and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing AI-generated outputs before relying on them or taking action based on them.
14. Limitation of Liability
To the fullest extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service.
- Our total aggregate liability to you for any and all claims arising from or related to the Service in any twelve-month period shall not exceed the amount you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
15. Changes to These Terms
We may revise these Terms from time to time. The most current version will always be available on our Website. If a revision is material, we will make reasonable efforts to provide notice (for example, by updating the "Last updated" date or by notifying you in-app or by email). Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, and any Data Processing Addendum we have agreed with you, constitute the entire agreement between you and Strategic Minds Group Limited regarding the Service and supersede all prior agreements and understandings.
